Item 1 (name and place)

It 'made in respect of the Civil Code and the legislation, called the Association of Social Promotion "GAM - Group Missionary Animation - Caldogno - non-profit organization" with headquarters in Via Zanella No. 2 in the City of Caldogno (Vicenza).

The Association will use, in the name and any distinguishing marks or communication to the public, the term "non-profit social organization" or the acronym "non-profit organization."

Article 2 (purpose)

The association is nonpartisan, not for profit and conducts promotion and social utility.
The proceeds may not, under any circumstances, be divided among the members, even indirectly.
The goals that are proposed are as follows:
a - assistance, recovery, education, education of children and young people with physical, social and economic, for a balanced development of the person, and action in favor of the poor, disadvantaged and marginalized people, single mothers, and in any case all initiatives intended to prevent and recover social deviance.
b - The promotion and dissemination of the culture of Third World countries, especially African and South American, even by dissemination of objects, books, writings and other information media. The promotion of cultural exchanges between the various immigrant communities in the area, from different backgrounds, cultures, races and religions, enabling interventions to support training, employment and social integration in general.
c - The identification and implementation with their counterparts abroad and / or their representatives, of cooperative measures for socio-economic recovery and social environments and health, particularly degradation, by promoting education, labor, education and associations, to improve the quality of life and promote human dignity.
Enabling initiatives to develop distance adoptions.
d - The creation and support of initiatives to promote and enhance the culture of peace, solidarity, moderation and respect for the environment.

Article 3 (program description)

To achieve the purposes of art. 2, the Association will promote:
a - The creation of social structures and / or appropriate care to achieve its objectives.
b - The organization and execution of projects to enable members and supporters, enhancing the professionalism of everyone, to use their free time to work in favor of the association, other associations, public or private, and people in need for implementing the approved program.
c - The organization of exhibitions, meetings, awards, advertising campaigns, events, to inform and educate citizens on social development and raise awareness on issues scheduled.
d - The organization of leisure time and sports for young and elderly in particular, in order to facilitate the aggregation between different generations.
and - Promoting and supporting programs for the learning of technical work and training, targeted at areas of the Third World, to allow them autonomy and self-development.
f - The creation, in the Third World, especially the African continent and Latin America, educational facilities, job-training centers, day hospitals and community centers and nutrition, directed by trained personnel and equipped to to give to children and marginalized people a physical, intellectual and social suited to enable them to socialize with others and to undertake work activities and thus ensure the balanced development of the person and the recovery of the social fabric.
g - Manage and acquire contracts and enter into agreements for the accomplishment of its goals, buy, modify, rent or lease real estate, furniture and furniture recorded, necessary for the activities of the Association or for the realization of its projects. Buy or rent equipment and materials related to activities.
h - Organize events to raise funds for the free collection of goods and tools to offer for sale or to be used directly in the regions concerned, to sell items, books and products from the regions that the association intends to support. Take any other form of collection with the state of NPIs.
i - Join, coordinate and / or integrate with other public and private organizations, with similar purpose or of a higher level of intervention strategies to common solidarity.
k - Accept donations and grants, apply for and assume all the contributions and concessions provided by the State, Regions, Provinces, Municipalities, by public and private entities and the European Union.

Article 4 (Members)

1. Are admitted to the Association all who share its aims and accept the present statute and any rules of procedure.
2. The department competent to decide upon applications for admission is the Board of Directors.
The refusal must be justified. And 'The possibility of appeal within 30 days the Assembly. The applicant, the application must specify its full generality undertakes to pay the membership fee.
3. Members may be:
- Ordinary - those who pay the registration fee established annually by the Assembly.
- Supporters - those beyond the ordinary share, deliver extraordinary voluntary contributions.
- Benefactors - those persons appointed by the Assembly for special merits acquired in favor of the Association.
4. Not permitted category of temporary members.
5. The membership fee is non-transferable.

Article 5 (Rights and Obligations of Members)

1. Members are entitled to elect its governing bodies and to be elected in the same.
2. They have a right to be informed about the activities of the association and be reimbursed for expenses actually incurred in performing the activity provided.
3. Members must pay in terms of share capital and comply with this statute and any rules of procedure.
4. The members of the association held its activities primarily in a personal, voluntary and free, non-profit, even indirectly, by reason of personal availability.

Article 6 (Withdrawal and exclusion of a member)

1. A member may withdraw from the Board by written notice.
2. A member who violates the obligations pursuant to the Statute may be excluded from.
3. The exclusion is decided by the Executive Council by secret ballot and after listening to the justifications of the person concerned.
4. E 'accepted the decision of the Governing Body with the possibility of appeal within 30 days the Assembly and is still subject to appeal to the court.
5. Members who have ceased to belong to the Association, however, can not ask for contributions and have no claim on the assets of the Association.

Article 7 (Corporate Bodies)

1. The organs of the association:

b) The Board of Directors
c) The President
2. All the officers are acquitted and taken to the total charge.

Article 8 (Assembly)

1. The Assembly is the sovereign body of the Association and consists of all members.
2. It 'called at least once a year by the President of the association or his legal guardian written notice be sent at least 10 days before the date fixed for the meeting containing the agenda and work.
3. The Assembly is also convened at the request of one tenth of the members or when the Board deems necessary.
4. The Assembly may be ordinary or extraordinary. And 'the extraordinary meeting called for the amendment of the Statutes and the dissolution of the Association. E 'ordinary in all other cases.

Article 9 (Duties of the Assembly)

The Assembly shall:
- Determine the general programmatic activities of the Association
- Adopt any internal regulations
- Decide definitively on applications for new membership and exclusion of members
- Elect the President and Board of Directors
- Approve the budget and expenditure accounts
- Decide on what other demandatole by law or by statute, or submitted for its consideration by the Board of Directors

Article 10 (Validity of the Assembly)

1. The Assembly is duly convened on first call if there is a majority of members entitled to vote on second call, to be held on the same day, regardless of the number present in person or by proxy.
2. Not allowed more than one delegate for each member
3. The Ordinary Resolutions are taken by majority vote of those present and represented by proxy, shall be expressed to open vote except those concerning individuals and the quality of people or when the Assembly considers it appropriate.
4. The Extraordinary General Meeting approves any amendments to the statute with the presence of 2/3 of members and deliberate decision by a majority of those present.
5. Assembly dissolve the Association and donates the assets with the favorable vote of 3/4 of the members.

Article 11 (Logging)

1. The discussions and deliberations of the Assembly and the Executive Council are summarized in a report prepared by the Secretary or in his absence or inability, respectively, by a member of the Assembly or the Council specially appointed to start of the session, the minutes are signed by the President.
2. Each member is entitled to consult the transcript and draw a copy.

Item 12 (Executive Council)

1. The Board is composed of a minimum of three to a maximum of seven members, elected from among its members.
The Board members serve for three years and may be reelected.
If they fail one or more directors, the Board of Directors shall appoint to replace them in their place the partner or partners who in the last election meeting further down the list of voting.
In any case, the new Board members will expire along with those who are in office at the time of their appointment.
If they fail more than half the members in number, the President must call a meeting for new elections.
2. The Board is quorate when the majority of the components.
3. The Board shall make all acts of ordinary and extraordinary administration not expressly delegated to the Assembly and draw up and submit to the Assembly the annual report of the Association, the final balance and the budget, setting the amount of annual fee .
4. The Executive Council shall meet at least four times a year and is convened by the President in accordance with deadlines set or when it deems it necessary or upon written request of a majority of the members.

Article 13 (President)

The President is the legal representative of the Association, chairs the Executive Council and the Assembly, convenes the Annual General Meeting and Board of Directors in case of both ordinary and extraordinary meetings.
Article 14 (Financial resources)

1. The economic resources of the association shall consist of:
a) - Contributions and membership fees
b) - Donations and bequests
c) - Income from institutional activities and related activities
d) - Any other type of revenue permitted under Law 383/2000
2. The Association has no obligation to employ the profits or operating surpluses for the institutional activities and those directly connected to them.
3. The Association has the obligation not to distribute, even indirectly, profits and surplus funds, reserves or capital during the life of the organization, unless the use or distribution is imposed by law or made in favor of other NGO organizations that by law, statute or regulation are part of the same structure.

Article 15 (Annual Report, Statement of Economic-Financial)

A. The Budget Economic and Financial Association is annual and runs from January 1 of each year.
2. The final account contains all revenues and expenses for the past year. The budget contains estimates of expenditure and revenue for the next financial year.
3. The economic and financial statement is prepared by the Board and approved by the General Meeting with the majority provided for in this statute. It is deposited at the headquarters of at least 20 days before the meeting and can be accessed by each member.
Four. The final statement must be approved before April 30 following the close of the fiscal year.

Article 16 (consortia / Coordinators)

The Association, in order to ensure the most complete achievement of statutory objectives, may form a consortium or congregate in coordination with other NGO in the area and / or associations that operate in the same area.

Article 17 (Dissolution and transfer of the assets)

The eventual dissolution of the Assembly and will be decided only in the manner provided for in Article. 10.
The Association shall have the obligation to donate the assets of the organization, in the event of its dissolution for any reason, NGO or other organizations for purposes of public utility, the controlling body of the article. 3, paragraph 190, of L. December 23, 1996, No. 662, unless otherwise assigned by law.

Article 18 (Final Provisions)

For everything that is not expressly provided for in this Statute shall apply the provisions of the Civil Code and applicable laws.
